摘　　要：文章利用博弈论的基本原理,分析了我国独立董事制度的现状及其成因,通过建立不完全信息下独立董事和大股东的博弈模型,提出了完善独立董事制度的措施和建议。This text has analyzed the current situation and the cause of its formation of the independent director＇s system of our country , has set up the game models between independent director and big shareholder under complete information and has put forward measures and suggestion for independent director＇s system.
