摘　　要：对近几年我国学术界在国有公司治理结构研究方面的文献进行综述,认为当前我国国有公司在治理结构方面存在着股权结构、公司组织结构、内部人控制与外部人控制、公司治理机制等一系列问题,产生诸多问题的原因既有公司内部治理机制的原因,也有外部治理机制的原因,更有我国转轨时期公司治理问题产生的特殊原因,并提出健全和完善我国国有公司治理结构的对策。In this article the documents of state - owned corporate governance structure in China in recent years are summarized. Nowadays there exist a series of problems in the state-owned corporate governance structure, such as. stock-ownership structure, corporate organization structure, insider control and outsider control, corporate governance mechanism, etc. The causes are as follows： the internal corporate governance mechanism, the external governance mechanism and the special causes resulting from our transition period. Accordingly, the countermeasures to improve and perfect our state-owned corporate governance structure are put forward.
