摘　　要：公司制国有企业高管约束问题一直是理论和实务界讨论的热点。在公司治理不断完善、公司经营日益规范的今天，对公司制国企高管人员的“问责”应该进行相应的健全，这也是企业能够健康、良性发展的保证。tThe supervision question of the top manager of the state - owned company always is the focus of the theory and the reality area.
