摘　　要：文章对中小企业国有产权向管理层转让的几个问题进行了探讨,从中小企业与管理层的界定、转让定价、融资等方面进行了分析,并提出中小企业国有产权向管理层转让应做好几个方面工作的建议。This paper studies a few questions that the state-owned equities in medium and small enterprises being assigned to the layer of management, from the medium and small enterprises and the definition of the management layer, reassign pricing, financing, etc. And it proposes the state-owned equities in medium and small enterprises assigned to the layer of management should take a few operations of suggestion.
