摘　　要：从新制度经济学的一个角度——契约理论来探讨技术产权交易的契特征,先从实践角度提出问题,再从理论角度探讨技术产权交易契约不同特征的原因,最后从实践角度给出具体说明。调查了上海市1991-2003年的技术产权交易契约特征,提出行业及其行业知识的特性对技术产权交易契约的特征有极大影响。In this study, we analyzed the characteristics of technology exchange contract from the point of view of new institutional economics——contract theory. Firstly, we put forward the question by giving the technology exchange contract statistics figures from 1991 to 2003 of Shanghai, then analyzed which industry the technology exchange took place and what property the technology had. And we concluded that the characteristics of industry and technology have impact on the form of technology exchange contract.
