摘　　要：本文以中国上市公司公开信息为依据,基于2004年的样本,从中国公司治理指数及其所涉及的六个维度:控股股东治理指数、董事会治理指数、监事会治理指数、经理层治理指数、信息披露指数、利益相关者治理指数进行比较研究,总结了中国上市公司的治理特征和年度差异。2004年公司治理状况较之2003年有较大改善,公司治理对公司绩效产生了积极作用,良好的公司治理有利于提高信息披露质量,并有利于保护利益相关者权益。本文对公司治理评价与指数未来研究提出了规划。The paper depends on the listed companies＇ public information, based on the sample in 2003 and 2004, compares and analyses the China corporate governance index（CCGI^NK, China corporate governance index of Nankai）, including shareholder governance index, board of director＇s governance index, supervisory committee governance index, top managers＇ governance index, information disclosure index, and stakeholders＇ governance index, summarizes the characters of China listed companies＇ governance and differences. The status of corporate governance in 2004 is better than the governance status in 2003; the corporate governance is important for corporate performance, efficient corporate governance is helpful to the quality of information disclosure, and is useful for protecting the equity of stakeholders.
