试论我国的独立董事制度

摘　　要：为了完善公司的治理结构,更好地保护中小投资者的利益,我国引进了独立董事制度。然而在实际的运作中,我们发现独立董事制度并没有发挥其应有的作用。其关键是没有较好地保证独立董事的独立性,并且没有解决独立董事本身所带来的代理问题。为此,应当采取一些必要的措施来保证独立董事制度能够在完善公司治理的过程中发挥其应有的作用。In order to perfect company＇s administration and protect the profit of small investor, independent trustee system was introduced into our country. But in actual work, we find that independent trustee system don＇ t fully bring into effect. The crux to the reason is that we don＇ t preferably guarantee the independence of independent trustees and settle the agent problem brought by itself. Therefore, we should adopt some indispensable measure to make the independent trustee system fully take effect on perfecting company＇s administration.
