摘　　要：由于研究目标和角度的不同,法学和经济学对于交易概念的使用存在差异。法学中的交易表现为以双务合同为典型形态的合法权益的交换,它相当于经济学中“买卖的交易”。从制度结构影响交易费用的角度,新制度经济学实现了经济学的交易理论与法学对交易理解的统一,并为法学开辟了一条新的思路。There are certain differences between the concrete applications of the conception ＂transaction＂ between law and economics because of their different research aims and angles. ＂Transaction＂ in law means typically the shifting of legal property and interest based on contract, and is equal to the buy related transaction in economics. In view of that institution structure will influence transaction cost, new institutional economics unifies the understandings of ＂transaction＂ both in economics and in law, and opens a new area for legal research.
