摘　　要：企业并购是市场经济体制下的一种产权交易活动,是参与并购的局中人之间博弈的过程。文章分析了中国企业参与并购的深层次动因,建立了相应的企业并购博弈模型,对此进行分析并提出一些建议和对策。The merger and acquisition is both an action of property right transaction and a game of a lot of stakeholders participating in under the condition of market economy. This article deeply analyzes the motivation for M＆A of Chinese corporations, establishes a corresponding game model and brings forward some suggestions and countermeasures.
