摘　　要：公司治理结构狭隘地讲是指有关公司董事会的功能、结构、股东的权力等方面的制度安排,广义地讲是指有关公司控制权和剩余索取权分配的一整套法律、文化和制度性安排,优化公司治理结构,是保证国有企业改革良性运作的关键。The essay analyzed and studied the theory of corporate governance structure, the history and current status of state-owned enterprises reform in our country, combined with the economical situation that state-owned enterprises are facing, probed into how to optimize corporate administrative structure and how to ensure the fine operation of stateowned enterprises reform etc.
