摘　　要：高新技术企业是代表新经济发展方向的重要组织形式和载体,也是最具有市场发展前景的主体之一,但从经济学的角度分析高技术企业在发展中普遍存在的委托代理问题。从发达国家的经验看,经理股票期权制度是有效解决高技术企业委托代理问题的一项重要制度。Representing the future economic trend for being an important organization form and carrier, high - tech enterprises have bright market prospect. This paper analyzes the sources of Principle - Agent （ PA ） problems, which commonly exist in the high - tech enterprises. Considering the experience of developed countries, the paper suggests that the PA problems should be solved by the appropriate implementation of ESO.
