摘　　要：从我国上市公司中的“内部人控制”问题改进以及机构投资者本身投资策略选择需要等两个方面提出机构投资者参与公司治理的必要性。针对我国机构投资者发展现状以及其遇到的障碍问题,如机构投资者多重代理、利益纠缠、“搭便车”、法律制度不完善等,提出了培育负责任的机构投资者、优化机构投资者自身治理以及改进法律环境因素等对策建议。The article raises the necessity for institutional investors to participate in corporate governance from two aspects, internal control and strategic choice. Through analyzing the present issues of institutional investors＇ development, such as multiple proxy, interest conflict, ＂free rides＂ and imperfect legal system, this paper proposes countermeasures in cultivating the responsible organizational investor, optimizing institutional investors＇ own governance and improving law environment.
