摘　　要：我国民营企业的发展存在许多问题,现有的文献已对此做过详细的解释。本文认为路径依赖是制约其成长的最大障碍,只有进行制度创新,运用诱致性和强制性制度变迁的手段,才能使民营企业的发展步入良性循环,避免锁定在低效率的状态。There are a lot of problems need to resolve in terms of the development of private enterprises in our country. The available literature has acted the detailed interpretation to these, but the largest obstruction is the path dependence that limits the growth. In the process of growth and strengthen, only systematic innovation, besides applying the way of inducing systematic change and compulsive systematic change, can cause the development of private enterprises step into the virtuous circle, averting locking in the lower effective condition.
