摘　　要：董事会等契约治理机制在我国企业中的适用性问题直接影响到我国企业的绩效。通过实证调研,运用新的统计工具分析董事会功能对我国私营企业的战略决策绩效的影响表明,董事会在我国私营企业中的功能发挥并不像传统企业理论所描述的那样,在我国私营企业环境下,董事会的监督功能被削弱,而咨询功能得到了充分发挥。The adaptability of contractual governance mechanism like directorate in enterprises in China directly influences their performance. This article tries to analyze the influence of the directorate on the performance of private firms in China through an empirical study and using new statistic tool. It is found that, the directorate do not functioned as it was described in traditional firm theories. Its function of monitoring of the directorate is weakened while the function of consulting is full-playing in Chinese private firms.
