论我国管制外资并购国有企业存在的法律问题——兼谈美国外资并购管制法制经验

摘　　要：外资并购国有企业迅速膨胀,已出现大量严重负面效应,而我们却对外资并购持鼓励态度,并以此作为衡量政府政绩标准之一,这方面的立法要么缺失,要么严重不完善,无法担当规范外资并购国有企业行为的重任。而标榜自由投资的美国却对外资并购实行严格的法律管制,产生了许多值得我们借鉴的经验。我们认为应当转变外资并购立法指导思想,设立国际投资委员会管制外资并购,制定和完善外资并购法律体系,对外资并购国有企业实行严格审管,防范国有资产流失,保护职工劳动就业等基本权利不受剥夺,建立外资并购听政制度。The rapid inflation of foreign capital＇s mergering and acquisiting of state-owned enterprises has appeared the massive negative effects, but we still hold the encouraged attitude to it, and take it as one of standards of weighing the government＇s achievements. The law of this aspect, lacking or imperfect, is unable to undertake the responsibility of regulating the foreign capital＇s M＆A. Though advocating free investment, the USA implements the strict legal control to foreign capital＇s M＆A, which provides lots of good experience we can benefit from. Therefore, we must transform the guiding ideology of the foreign capital＇s M＆A legislation, establish the international investment committee to administrate the foreign capital＇s M＆A, formulate and perfect the legal system of foreign capital＇s M＆A, implement strictly examination and control to the foreign capital＇s M＆A, guard the state asset from outflowing, protect the basic right of the staffs such as employment from being deprived, and establish the hearing system of foreign capital＇s M＆A.
