摘　　要：随着经济全球化、一体化及信息技术革命的发展,并购已经成为资本运营的重要方式。在我国,公司并购起步较晚,还处于探索阶段,尚存在一系列理论和实践问题,这些问题都不同程度地阻碍了企业并购的顺利进行。从企业并购的动因出发,探讨我国企业并购存在的问题及解决问题的措施,是当前亟待解决的问题。With economic globalization, integration and info-technology revolution＇s development, merger became an important means of assets administration. In China, corporate merger started late, it is still within research procedure; there are a series of theoretical and practical problem to obstruct enterprise merger smooth performance. It is an urgent problem facing us to discuss China＇s enterprise merger factors and raise effective solution.
