摘　　要：国有企业改革成败的关键是产权制度改革,MBO为产权制度改革提供了新的思路,但MBO在我国还处于探索的阶段,MBO的许多环节中存在各种问题。分析民营企业在上市公司曲线MBO中的代理作用,其实质是逃避政府对MBO的监管,使上市公司管理层最终顺利实现MBO。The key point to the success of SOE＇ s reformation is property right reform. MBO provides a brand - new way and effective access to property right reform. However, in China MBO stills remains the primany stage. There are some problems within different processes of MBO. This paper focuses on the agent roles of private enterprise in Shandong Lingong＇MBO. The nature of agent roles is to escape the government regulation and facilitate the listed company＇s MBO.
