对董事离任义务立法现状的分析及建议

摘　　要：我国现行《公司法》只对董事的在任义务作了规定,而未涉及到董事的离任义务。随着社会经济活动的多元化和复杂化,越来越要求在《公司法》中对董事的离任义务作出规定。应在《公司法》中明确规定董事离任后的竞业禁止义务、禁止篡夺公司机会义务、保守秘密义务、不得与公司从事特定财产交易义务、不得策反公司重要职员义务、不得随意转让其所持股份之义务。There are some regulations in our present ＂law of corporation＂ ,but not the duty of a director who leaves hisPost. As the society economy activities become diversified and complicated , It requires that making the regulations about the duty of a director who leaves hisPost in ＂law of corporation＂. The company law should formulate briefly about the duty in different situation as follows：the director should obey the duty of prohibition on business competition, keep bussiness secrets, protect the company＇s chance, transfer the stock arbitrarily, when he leaves his post.
