摘　　要：美国公司治理结构被认为是最成功的治理模式之一,我国上市公司在进行股权分置改革的进程中更需要吸取其经验和教训:大力发展外部市场监控体系;逐步完善股权结构,强化公司内部治理结构建设及健全监督激励机制;加强法律监管和执法力度及保护中小股东机制,建立适合我国企业发展的公司治理结构。American enterprise management structure is considered as the most successful management style in the world. Chinese public companies need to absorb experience and lecture from America during the process of the holding mounted revolution, i.e. deeply developping the outside market monitoring system; gradually completing the interest structure to strengthen the company＇s inner controlling system construction and intensifying the monitoring and encouraging system; reinforcing law supervision and law executing power and protecting the minor enterprises to build an available company management structure for Chinese enterprises.
