摘　　要：在国企改制过程中,制度设计无疑是影响债权人利益之保护的一个重要因素。通过对企业公司制改造、企业出售、企业分立、企业兼并等改制方式的制度设计进行考量,发现现行规范的疏漏及不合理,当务之急需要对相关规范进一步修改和完善。There are a lot of factors affecting the creditor benefits in the procession of the system reform of SOEs. Among these factors, the system design is the important thing that affecting the protection of the creditor benefits. With the research on the system design of the reformation of transferring SOEs to corporation, and the sale of SOEs, and the separation of SOEs, and the merger of SOEs, the current regulations can be found absent and illogical. So the correlative regulations should be improved and perfected furthermore.
