摘  要:从劳务和人力资本的概念出发,对劳务出资和人力资本出资的关系进行探讨,指出两者实质上是相同的。在对国内外关于劳务出资和人力资本出资的立法进行简要回顾后,认为是否允许劳务和人力资本作为出资,正反两方面的观点各有值得商榷之处,并着重分析了可行性、障碍以及一旦将之法定化,具体制度如何构建的问题。最后。From the concepts of the labor and human capital, we deliberate the relationship between labor and human capital contribution after clarifying the related concepts, pointing out that the two are identical substantively. And we review the history of legislation on human capital contribution at home and abroad, admit that the viewpoints of pros and cons are profound and remarkable about whether the human capital contribution should be permitted, while there is still room to discuss. Then we focus on the solution of how to construct the concrete mechanism of human capital contribution with help of analyzing the feasibility and obstacle for the subject. At the end of the paper, we demonstrate that it' s better to postpone the enactment for the human capital in China.
