摘　　要：公司治理天然地与财务资本相联系,公司治理产生之初的核心命题就是保护财务资本所有者(股东)的利益,防止经理人的逆向选择和道德风险。文章从财务资本的视角对国内外公司治理文献作一回顾和评述,以期为所有关注财务管理与公司治理关系的同仁提供一些新的视角和研究参考。Corporate governance contacts with financial capital naturally, at the beginning of the corporate governance, the core problem of it is how to protect the ownership share holds and prevent the adverse-choice and moral-hazards of the managers,This paper surveys recent academic literatures on corporate governance from the view of financial capital, and gives remarks on it.
