摘　　要：企业并购(Merger & Acquisition,M & A)已经成为现代市场经济的一个重要组成部分。在一系列企业并购事件中,最核心问题就是目标企业的价值评估,估价已经成为现代公司管理的前沿问题之一。目前,我国目标企业价值评估理论和方法的研究还没有形成一个完整的体系。正是基于这一点,文章对企业并购目标企业价值与评估进行了系统研究。M ＆ A has become an important part in the modern market economy. In a range of merger event, the core problem is the value assessment of Objective Corporation. Valuation has already become one of the front problems of modern management. At present, the value assessment theory of Objective Corporation has not been a completed system. As for it, the essay through the systematic study for value assessment of corporation.
