摘　　要：跨国并购是20世纪90年代以来国际投资的主要形式和主流趋势。外资并购对我国国有企业既是机遇更是挑战。虽然外资并购这种国际上主要的外商投资方式在中国刚刚起步,但外商投资实践中带来的问题如国有资产流失问题、国有企业职工安置问题、品牌流失等问题不得不引起中国人的深思。Transnational merging has become the most form and main trend of the international investment since the 1990s. Foreign capital merging is not only opportunites but also challenges for state-owned enterprises. Though the foreign capital merging that is the main international investment is just entering into China, but the problems brought about by foreign investing,such as loss of state assets, resettlement of the workers in state-owned enterprises, brand loss, cause the deep thought of people in China inevitably.
