摘　　要：本文认为,完善国有公司的治理结构,要从国有公司的性质和实际情况出发,把立足点放在促进国有经济的健康发展上,坚持以构建国有产权委托代理关系为核心,重点处理好分权与制约的关系。The article believes that we should stick to the core of constructing entrusting agent relationship of state-owned property right, focus on dealing with the relationship between segment right and restriction based on promoting healthy development of state-owned economy from characters and practical instance of SOEs in order to perfect governance structure of SOEs.
