摘　　要：介绍了我国公司治理结构和治理机制的现状,分析了我国公司在治理结构及治理机制上存在的问题,最后结合我国的实际情况提出了改进我国公司治理结构和治理机制几点建议。This paper discusses the corporation governance system and the actuality of governance in China. Some problems about the governance structure and system are analyzed. Then the author provides some suggestions for improving the corporation governance combining with the actual situation in China.
