摘　　要：通过对美国AB啤酒集团并购哈尔滨啤酒公司的案例进行的分析中,提出啤酒等一般性消费品行业过度竞争的存在原因与危害,提出在该种行业内进行兼并重组有利于市场集中度的提高和企业利润的增加,同时探讨在国有资本退出的方式和方法上应当有所创新。在这一并购浪潮到来之际,应当在国有资本保值增值的基础上充分利用外资进行有效地国有资本退出,并提出了相关的建议。This text,through the case of the beer Company of Harbin merged to AB beer group, propose such existence reason and danger of excessive com-petition of generaal consumer goods trade as beer, etc. ,propose annexing and recombiing improvement which is favorable to market concentration degree and increase of enterprise＇s profit in this kind of trade, should innovate to probe into at the same time to some extent. When this merger tide comes, should fully utilize the foreign capitals to carry on the effective one,on the basis of state-run capital value preserving and appreciation,withdrew from the state-run capital, offered the suggestion of correlated withing finally.
