股东征集委托书有关问题探析

摘　　要：在委托书征集立法中,对是否应限制作为征集者的股东的资格一直颇有争议。我国立法规定只有符合有关条件的股东才能征集委托书。但为充分发挥委托书征集制度的功能,应当取消这一缺乏合法性的规定,采取有效措施保障股东在委托书征集中能与公司管理者展开公平竞争。In the legislation of proxy solicitation, whether to restrict qualifications of the stockholders who are collectors is always a controversial problem. According to our country＇ s legislation, only the stockholders who match conditions are allowed to collect comission. But in order to make full use of comission collection system, it is crucial to cancel the nile that is lack of legitimacy, In addition, effective measures should be taken to ensure that stockholders and board directorses equally compete in comission collection.
