摘　　要：本文主要借用古诺模型的变换与讨论,对企业研发合作的动因问题进行了较为深入的分析,得出了企业开展研发合作不仅是"共摊费用、共担风险、共享成果"的需要,同时也是企业在竞争中获取"先发优势"、出清市场的重要手段等相应结论,进而对促进我国企业对外研发合作的发展问题提出了积极的建议。By taking advantage of the commutation and discussion of Cournot model and focusing on proceeding profound analysis on the motivations of firm cooperative R＆D, this article has drawn corresponding conclusions such as cooperative R＆D is not only the requirement of ＂Expense Sharing; Risks Sharing; Fruits Sharing＂, but also an important instrument to capture ＂Early-Developing Advantage＂ and clear the market among competitions. Simultaneously, affirmative suggestions on the development problem regarding the promotion of external cooperation on R＆D of Chinese firms have been brought forward.
