政府行为与中小民营企业并购“困境”的关联性

摘　　要：在国有经济结构调整的背景下，民营企业的跨所有制并购是我国并购市场上的一个热点。然而，在这一轮并购浪潮中，有相当多的民营企业，尤其是中小型民营企业，陷入了并购困境。基于公共选择的视角，对导致民营企业跨所有制并购困境与地方政府行为的关联性进行了描述和解析．揭示了多元产权结构下企业并购过程中的政府行为选择与其经济和政治利益密切相关。In the background of state-owned economy structure adjustment, private enterprises bring about a wave tide of trans-ownership acquisition. However, although some private enterprises succeeded during this process, others bogged down after a short initial honeymoon period, especially small and medium private enterprises. Based on public choice theory, In this paper an attempt has been made to explore the alienation of local government hiding in the small and medium private enterprises＇ trans-ownership M＆A failure. It opens out that local government＇s behavior chioce is not proceed from ideological preference in the process of private enterprises＇ trans-ownership M＆A , but consanguineously related with its economic and political benefits.
