摘　　要：本文从公司治理理论的视角出发,通过分析国有企业公司治理的现状,治理过程中存在的问题及原因,提出了完善国有企业内部和外部治理机制的对策。The text setting out from the view of company government theory, governs the existent problem and reason,through analyzing the present condition about stateowned enterprise＇s company government, then puts forward the counterplan about inner and exterior government mechanism of perfecting stateowned enterprise, meanwhile carrying out stateowned enterprise to transform company government mode to economic type, raise the market competition ability of stateowned enterprise.
