On Insufficient Innovation Ability of Our Country’s Enterprises from the Perspective of Company Governance

摘  要:专用性人力资本积累是企业创新的源泉,较高的专用性人力资本准租提高了企业家、知识型员工投资于企业专用性资产被"套牢"的风险,公司治理中缺乏有效规避该风险的机制是我国企业创新能力不足的深层次内因。对我国企业治理机制中人力资本地位不对称的分析表明:企业家主导的共同治理机制与"进入权"激励相结合的治理方案,是提高我国企业创新能力的一条出路。The accumulation of special-purpose human capital is the fountainhead of enterprise innovation. The higher special-purpose human capital quasi-rent has increased the risk of the entrepreneurs' and the intellectual staff' s investment to the enterprise' s special-purpose property, and there is a lack of effective mechdnism to avoid the risk in the company governance structure, these factors form deep internal cause of insufficient innovation ability in our country' s enterprises. The analysis in this paper of the asymmetrical status of human capital in the governance mechanism of our country' s enterprise, shows that the improvement program, which integrates both the common government mechanism sponsored by the entrepreneurs and the inspiring mechanism of "the right to access", could be a way to enhance the innovative ability of our country' s enterprises.
