摘　　要：公司权力是现代企业制度的产物。它有别于股东权力、董事会权力、监事会权力、经理权力,它体现的是公司的整体利益。公司权力具有十分显著的经济学表征,它是公司的一种重要资源,具有有用性、稀缺性、成本效益性特征。公司权力配置能够实现优化改进。The power of eonlpany is the prodution of the modern enterprise system, which embodies unitary benefit of the company with the difference from pouers of sharcholder, board of direelors, board of surveillanls and managers. Company pouer is one of the most imporlant resonrces of a company, h has very dis!ir, ct economic attributes of usefulness, rarity, benefice and uniform. The collocation of company power can achieve optimal improvement.
