摘　　要：20世纪80年代以来,技术获取型对外直接投资日益突出。在Fosfuri、Motta与Graham研究的基础上,本文以当地化溢出为前提,引入企业的R&D活动,构建两国双寡头古诺模型,从交换威胁战略和技术寻求动机的角度论证无技术优势企业对外直接投资,首次解释了发达国家和发展中国家的企业所进行的技术获取型对外直接投资,并且建议我国企业增加R&D投入,加大对新兴工业化国家和地区的直接投资力度。Technology acquisition foreign direct investment has been surged since1980's.Based on the studies of Fosfuri,Motta and Graham,the paper introduces R&D activities of enterprises on the premise of localized spillovers,and construct a two-country duopoly Cournot mode.It proves the outward FDI of the enterprises without technology advantages in view of the exchange threat and technology-seeking.Thus it explains the technology acquisition FDI coming from the enterprises in developed and developing countries.The suggestion is put forward that Chinese enterpriese should increase investment in R&D activities and enhance the direct investment towards the newly industrialized countries and regions.
