摘　　要：以经营者变更过程中的委托人(企业)和代理人(经营者)为博弈参与主体,建立了一个二阶段动态博弈模型,描述了在经营者变更过程中两参与主体的博弈过程并对不同情况下的博弈进行求解,得出结论:经营者的任职环境是影响其能力估值的重要因素,经营者的能力与努力程度之间具有互补替代效应。最后就如何提高经营者变更的决策质量问题给出了相关建议。This paper takes finns and CEO as the two game participants, and designs a two - period game model to describe the game process between the finn agent and principal on manager turnover. It mainly draws the following conclusions ： the work environment is a non - negligible factor affecting manager＇s capacity valuation, and manager capacity and endeavor are to some extent complementary to each other. Finally this paper gives some relevant suggestions on how to improve the decision quality on manager turnover.
