摘　　要：在跨国公司中,母公司与子公司关系可以看作是一种委托代理结构,母公司将决策制定权利和义务委托给海外子公司。本文主要介绍了目前国内外关于跨国公司治理的相关文献综述、分析了委托代理理论视角下的跨国公司,在此基础上提出了跨国公司子公司治理的对策建议。In international company, the relationship between parent company and subsidiary company is often regarded as a kind of clientage and surrogate. Parent company offers subsidiary company the right to make the production decisions. The paper mainly presents the research on the administration structure of the subsidiary company of international company, analyzes the International Company based on the theory of commission and surrogate, in the end puts forward the suggestions about the administration of the subsidiary company of International Company.
