基于模糊聚类的独立董事产生机制研究

摘　　要：在独立董事产生机制中,除了推荐环节上存在着一些弊病外,国内企业挑选独立董事,更多的还是受公司董事长的学习意识、民主作风、社交网络、政治背景以及企业财力等因素的影响,很少通过科学决策的方法来确定独立董事的产生。所以本文把模糊聚类这一科学决策方法引入独立董事产生机制中,提出了设立独立董事协会,建立多目标决策模型,制定独立董事的产生程序,建立评价指标系统。希望本文的研究能为健全我国独立董事产生机制提供有效的支持。During the creation mechanism of independent board director, in addition to the recommendation link existing some corrupt practice, the domestic business enterprises choosing independent director is more still affected by the company president＇ s factors such as study democratic work - style, social intercourse network, political background and the business enterprise financial power etc., seldom through the method of science decision to the creation of the independent board director. So this text introduces the fuzzy - clustering one type of the science decision methods into the creation mechanism of independent board director, putting forward to establish independent board director＇ s association, building up many targets decision model, drawing up the creation procedure of the independent board director, building up the evaluation system of the index. Hope the textual research can provide a valid support for completing the creation mechanism of the independent board director in our country.
