摘　　要：本文分析了西方发达国家两种主要的公司治理模式，即以英美为代表的市场导向型模式，以德日为代表的网络导向型模式。从分析中可以看出，公司治理作为一种社会经济现象，与政治、经济和文化等有着密切的联系。由于各个国家的法律、政治、经济和文化发展轨迹不同，其公司治理亦呈现很大差异。This article analyzes the two kind of main company govern patterns in advanced countries, that are the market direction pattern which takes UK and US as representative and the network guidance pattern which takes Germany and Japan as representative. From the analysis, we know that as one kind of social economy phenomenon, the company governs contacts closely with politics, economy and the culture and so on. Because the developing path of the law, the political, the economical and the cultural in every country is different, the pattern of company governs is difference too.
