摘　　要：以英美为代表的外部控制模式和以德国、日本为代表的内部控制模式各有其优缺点,各自适合不同的环境。世界上并不存在最佳的公司治理模式。世界公司治理不应也不会趋同于某一模式。就中国而言,在进行公司治理改革时,不应过于迷信某一模式,而应根据自己的国情来创设或移植公司治理制度。Neither the external control model represented by UK and US or the internal control model is the best business management model, for each of them has advantages and disadvantages and each fits into different environments. Actually, there is no best business management model in the world. The business management in the world can not be the same. As to China, in the progress of management reform, either the establishment or the transplantation of business management institutions should be based on China^s actual conditions, and any superstitious belief in a certain model should be avoided.
