证券市场改革下的新形态证券犯罪

摘　　要：公司法与证券法在2005年同时进行修正,对国内的证券金融制度进行一定程度的改革,但是利用新证券交易制度的潜在漏洞所进行的新形态证券犯罪行为却也随之发生。而为了配合证券法的修正,刑法在2006年也进行修正,除了对原有的证券犯罪构成要件进行修改以外,还特别针对新形态的证券不法行为进行犯罪化。根据修法后的内容,新形态证券犯罪的制定与修正解决了证券市场的管理问题,强化了刑事制裁的力度,明确了刑法对证券犯罪的规范作用。The company law and the securities regulations carry on the correction at the same time in 2005, carrying on the change of the certain degree to the financial system of local stock certificate. But make use of the new appearance stock certificate criminal offence that the latent loophole that the new stock certificate trades the system carry on to also take place immediately. For the sake of the correction of the match stock certificate method, the penal code of 2006 year carries on the correction, in addition to constituting the important item to carry on the modification to the crime of the original stock certificate crime, still carry on crime＇s turn to the stock certificate illegal act of the new appearance specially. According to fix the method behind of contents, the establishment and corrections of the new appearance stock certificate crime resolved the management problem of the stock market, enhanced the strength of the pertaining to crime sanctions, explicit penal code for the norm function that stock certificate commit crime.
