摘　　要：本文针对我国转轨期的实际,剖析了我国企业并购行为背后的制度根源,发现了"我国企业并购的类型随着国企改革的渐进性进行和制度的渐进性变迁而演变"这一规律,提出了我国企业并购动因的"制度诱导观"。The thesis analyzed the institutional root of the merger dealing of domestic enterprises,and founded the rule that the merger style of domestic enterprises is developing with the gradual advance of the reform of state-owned enterprises and the gradual movement of the institution,and brought forwarded the view that the institution was the causation of the merger dealing of domestic enterprises.
