摘　　要：独立董事制度起源于美国,它曾在英、美等国发挥了积极的作用。然而,由于它是英、美单层制度的产物,而我国公司法人治理结构一直采用德国的双层制度;因此,我们对独立董事制度不应盲目地全盘移植,而应立足现实,把着力点放在健全监事会制度上来。Independent director system originates from USA, playing an active role in UK, USA and other countries. However, since it is the fruit of uni-level system of UK and USA, the legal personal governing structure of company of our country applies double-level system of Germany all the time; therefore, we shouldn't blindly copy the independent director system, but emphasizing on optimizing the Board of Supervisors system based on the reality.
