摘　　要：本文以公司治理国际化趋同为逻辑起点,构建以公司治理目标为导向的公司治理运行机制概念模型,深入探讨了美国金融危机所暴露出来的治理模式缺陷,最后在建立公司治理过程运行框架的基础上论述了我国在国际趋同中如何建立公司治理纠偏机制。Taking international convergence of corporate governace as a logical starting point, the thesis builds a corporate governance operational mechanism conception model oriented by the corporate governance goal, and studies America＇s corporate governance defects exposed to the financial crisis, and finally argues how to establish corrective mechanism of our country on the basis of establishing a corporate governance running framework in the international convergence.
