摘　　要：美国次贷危机的爆发引发了以华尔街为代表的金融危机,这次金融危机给全球经济带来了极大的损失,引发了多起并购事件,从这些并购案例中,突显出公司治理方面的一些问题。文章就此次金融危机引发的并购事件为起点,从公司治理的视角深入剖析并购本身的特点,分析和比较了众多并购案例。并重点从公司治理主客体、公司治理目标、公司治理过程中的控制权问题、股权结构是否合理化等角度揭示此次金融危机所引发的并购给我们带来的公司治理方面的启示。The outbreak of the sub-prime crisis in USA has brought a financial crisis, and the financial crisis has brought a great loss to the global economy, and caused a number of M ＆ A events. From these cases, some problems of corporate governance has been displayed. This article considers these M ＆ A events as a starting point, analyzes the characteristics of these M ＆ A events from the perspective of corporate governance, and at the same time ,analyzes and compares with a number of mergers and acquisitions cases. And from the aspects of main object of corporate governance, objectives of corporate governance, the process of control over the issue of corporate governance, whether the Ownership structure is reasonable, and so on , the enlightenment of corporate governance M＆A from financial crisis is revealed.
