摘 要:智力资源已成为高科技企业不断创新的基础和发展的关键性资源。企业要使智力资本充分发挥作用,必须进行智力资源资本化运作,这样才能较好地解决现代公司制企业所有者与经营者之间存在的委托代理问题,进而提升企业的核心竞争力。借鉴美日等西方国家的企业和政府建立股权激励计划实现智力资源资本化的成功做法,选择信息比较公开、资产质量比较好、智力资本比重比较突出的我国部分上市高科技公司作为研究的样本群体进行研究,可以发现,要进行我国高科技企业智力资源的资本化运作,应切实提高股权激励机制在我国运行的有效性,尽可能降低、减少其运行中的负面影响。Intellectual resources have been the key factor for the innovation and development of hi-tech enterprises. To bring intellectual resources into full play, enterprises shall put the capitalization of intellectual resources into practice. This will provide a good solution to the principal-agent problem of modern corporate enterprises between owners and operators, and upgrade the core competitive competence of enterprises. This paper draws from the success of Western countries such as the US and Japan that enterprises and governments establish the equity incentive plan to realize the capitalization of intellectual resources. Furthermore, the paper takes for example some listed high-tech companies with better information disclosure, better asset quality and larger proportion of intellectual capital, and advises to improve the operational effectiveness of equity incentive in China and to reduce negative impact to the least degree.
