摘　　要：中国通商银行是中国第一家现代银行,它在盛宣怀的主持下按照模仿汇丰银行的原则于1897年建立。其企业制度采用"华洋"并行的双轨管理体系,带有东西方混合的特征。从中国通商银行的外部环境、创办经过、企业制度特点、经营效果等方面来看,可以说新式企业制度在被引入一个原有商业传统的环境时,企业家个人将强烈影响新制度,而新制度也会与原有商业环境混合,并会将外部冲突引入企业内部。Exchange Bank of China is the first modern bank in China, which was established in 1897 modeled after Hong Kong and Shanghai Banking Corporation Presided by Sheng Huai-xuan. Its business management system adopted double-track system of China Global Lines Ltd, with mixed characteristics of the east and the west. The paper makes a research typified with enterprise history in its external environment, its establishment, the characteristics of the enterprise, causes and effects, etc. and believes that when a new enterprise introduces the already existing traditional commercial environment, the enterpriser himself will strongly influence the new system. And when the new system is mixed with the existing commercial environment, the external conflict will be also introduced into the enterprise.
