从银行影响力的角度分析德国公司治理的问题

摘　　要：在德国社会中存在着共同体概念,它形成了公司治理的内外部环境。德国公司治理中存在的最大问题是监事会的监督功能不足,其原因之一是与大银行的行为有关。德国银行拥有很大的影响力,但在股东大会和监事会中,银行往往不会反对而是协助公司的管理者。2002年完善了公司治理制度。在国际化潮流中,对德国公司治理影响最大的是美国型公司治理模式。因此,在德国就会产生德国传统的公司治理模式和美国模式之间的冲突。There is the certain concept of the community in German society. This concept affects environment of the corporate governance. The German corporate governance has many superior functions. However, there are big problems, too. The greatest problem is to lack a function of the supervisory board. And it has a connection to the big bank＇s power in German. German Banks have a great influence to German corporation, but in Shareholders＇ meeting and Board of Supervisors, banks will not oppose but assist managers. In 2002, German completed corporate governance system. Internationalization will affect German corporate governance system, and the most influential model is the United States corporate governance model. Therefore in Germany the traditional corporate governance model of Germany and the United States model will collide.
