摘　　要：对黑龙江省上市公司独立董事制度存在的问题进行了剖析,指出独立董事制度立法上的缺陷,选聘程序和任免机制不合理,约束激励机制不健全以及独立董事不独立,与监事会的关系不清,权利和义务缺失等问题;提出了完善独立董事制度相应的对策和建议:协调独立董事和监事会的关系,在独立董事的选任制度中引入累积投票制和回避制度,建立健全独立董事的运行制度、业绩评价制度、激励约束制度和基本保障制度。Analyzed the existed problems of Heilongjiang province listed companies independent directors system, and then pointed out the legislation deficiencies of independent director system, unreasonable mechanism of selection procedures and the appointment and removal, binding incentive mechanisms, as well as no independence of independent directors, and the unclear relationship between the board of supervisors, loss of rights and obligations and other issues. In view of the above issues, improved the corresponding countermeasures and suggestions ordinating the relationship between the independent directors and board of supervisors, the introduction of cumulative voting system and avoid system at the elective system, establishing and improving the independent directors operation system, performance evaluation systems, incentive and restraint systems and the basic security system.
