上市公司治理结构、监管对经营绩效的影响——以河北省为例

摘　　要：通过分析河北省A股上市公司的公司治理结构和监管对经营绩效的影响,得出其影响并不显著的结论,主要原因在于河北省上市公司普遍存在"一股独大"的状况,进而造成公司治理结构低下、内外部监管不能有效实施。强化内部控制与外部约束,使事前监管、事中监督而非事后惩治贯穿于上市公司的日常运营之中;重视公司社会责任,这是提升上市公司治理水平的长效机制,而有效金融监管能够使二者良性互动。By analyzing the effect of Hebei Province A-share listed companies＂ corporate governance structures and supervision on business performance, the article comes to the conclusion that the effect does not significantly work. The main reason is that these listed companies are generally in an ＂only- one-big-share＂ situation, resulting in lower corporate governance structures and internal and external regulations without effective implementation. Two proposals have been made： to strengthen internal control and external constraints, so that the ex-ante regulation, the midway supervision, rather than the ex-post punishment can run through the day-to-day operations of listed companies;to attach importance to corporate social responsibility, as the level of long-term mechanism of enhancing corporate governance of listed companies, and effective financial supervision being able to make positive interaction between the two.
