摘　　要：作为德国法上关于群体性法律保护的最新尝试,《投资者示范诉讼法》要旨在于:将群体性诉讼中的共同事实或法律问题交给上级法院,由后者在一种"两造诉讼"的框架内先行审理,并以审理结果作为解决所有个别纠纷的基础。立法者期望,通过这种方式,在为德国电信案这类大规模侵害案件提供解决之道的同时,又可以避开各类"代表式"诉讼在处理诉讼参加和判决效力扩张问题时经常遇到的困境。但是,这一方案不仅在法解释学上面临一系列无法解决的难题,在诉讼效率方面也没有展示出明显优势。在当事人的诉讼参加与大规模纠纷的高效解决之间,立法者终究要作出取舍。As the latest attemp to provide legal protection for group, German 〈 Model Investor Litigation Law〉 aimed to forward the common facts or legal issues in group litigation to higher court to decide, and make higher court＇s decision as a basis of adjudication of individual cases. German legislator hopes to provide a solution for large - scale tort cases and avoid various representative litigation＇s dilemma. But, this attempt faces not only many irresoluble difficulties but also shows no advantage in litigation efficiency. So the author thinks that there is a long way to go in this respect.
